RELATING TO THE OPERATION OF THE AFRO-CANADIAN ENTREPRENEURS ASSOCIATION
IT IS ENACTED that the following provisions constitute a by-law of ACANEA:
Article 1 – General 1.01 Regulations
The regulations in Table “A” of the First Schedule to the Companies Act, R.S.A., 1980, Chapter C-20 or other Acts enacted in lieu thereof, as amended shall not do apply to the ACANEA except to the extent that they are repeated or incorporated into this by-law.
1.02 Definitions
Unless the context indicates otherwise, in this by-law and all other ACANEA bylaws:
· “director” means a member of the board of directors.
· “Special Meeting of Members” means a meeting of one or more several categories of members or an extraordinary meeting of all members.
· “meeting of members” means an annual or special meeting of members.
· “Board of Directors” means the Board of Directors of the ACANEA.
· “Act” the Canada Not-for-profit Corporations Act, S.C. 2009, c. 23, y including regulations made under the Act and any laws or regulations that may replace them, as well as their modifications.
· “Members” means, unless otherwise specified, Class A Members and Class B members.
· “proposal” means a proposal submitted by a Class A Member that meets the requirements of Article 163 (Member Proposal) of the Law.
· “regulation” means any regulation made under the Act, together with their changes or updates, which are effective.
